This year the price of the commodities has tremendously gone up . A common people had to face lots of difficulties to celebrate this festival. But it was&amp;nbsp; welcomed by hook or by crook, there were no other alternatives . This year my elder brother Advocate Binod Nepal  is having serious problem with his health. We were in no mood to celebrate it but he is recovering and we decided to go ahead with our tradition. On this great occasion I would like to extend my best  wishes to every Nepalese in Nepal and  around the world and also wish a Very Happy Bada Dahsain,2068. The recent financial crisis in Asia and elsewhere&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;also have&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;made amply&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;clear to all&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;about the importance&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;of the issues of transparency&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;and accountability&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;     in corporate governance to investor confidence&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;and to&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;overall national     economic performance.&lt;br /&gt;&lt;br /&gt;  &lt;b&gt;Concept&lt;/b&gt;&lt;br /&gt;&lt;br /&gt;  Organization&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;for Economic Co-Operation&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;And Development (OECD), an     international organization, whose main motto is ‘partnerships&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;for progress’&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;    has developed non-binding principles of corporate governance standards&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;and     guidelines, which cover five areas. According to the standards and     guidelines the corporate governance framework&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;should protect shareholders’     right, should ensure the equitable treatment of all shareholders including&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;minority and foreign shareholders. All shareholders should have&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;the     opportunity to obtain effective redress for violation&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;of their rights.&lt;br /&gt;&lt;br /&gt;  Good corporate governance is&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;not an old concept for the Nepalese financial     system. Prior to the&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;open licensing system for the establishment&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;of Bank     and Financial Institution, authorities were not found so concerned&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;about     good governance&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;of financial institutions.&lt;br /&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="margin: 5pt 5pt 0.0001pt;"&gt;&lt;span style=";font-family:Verdana;font-size:9pt;color:black;"   &gt;The reason might be the presence     of only two commercial banks fully and partially owned by the Government.     The absence or the denial of good governance led two old public sector     commercial banks Rashtriya Banijya Bank and Nepal Bank Limited towards     serious shortfall in all aspects of their governance. As soon as the new     private and joint venture commercial banks and other financial institutions     started their establishment in Nepal, the concerned Nepalese authorities     started thinking seriously about the necessity of good corporate     governance.&lt;br /&gt;&lt;br /&gt;  Due to lack of accountability, lack of experience as well as expertise and     the practice to use the facility in one’s own interest it was observed that     some of the banks and financial institutions were not following the     principle of good corporate governance. Such practice seriously affected their     profitability resulting in piling up of the non-performing assets. Then the     necessity of having a specific law and relevant prudential norms were badly     felt. Nepal Rastra Bank as a custodian to Nepalese financial system came     forward and started issuing relevant prudential regulations, which was the     demand of the hour. Issuance of such regulations had been welcomed as a     step towards restoring good governance in the banks and financial     institutions. Regulation was aimed at helping them to enhance their deteriorated     good governance conditions, which was thought as the root cause of     non-performance. Main focus of the regulation was given on putting     restrictions on defaulters from enjoying more credit facility because they     were said to have found enjoying credit facility from different banks and     financial institutions in spite of their failure to repay the loan of other     banks and financial institutions. Provision were even made in the     regulation issued by Nepal Rastra Bank to blacklist the defaulters and their     family members.&lt;br /&gt;&lt;br /&gt;  Regulation alone is not sufficient enough to regulate the bank and     financial institution efficiently and effectively. Instead of having a     separate law for each and every Bank and Financial Institution, Nepal     Rastra Bank initiated an umbrella act for all commercial banks and     financial institutions for their smooth functioning and to minimize the     risk. Provisions regarding classification of banks and financial     institutions, promotion from lower grade to upper grade, demotion from     upper grade to lower one and specific qualification for the appointment of     board of directors as well as chief executive officer and their     accountability, liability and right and duties have been clearly specified     in the new Ordinance, 2061 Relating to Bank and Financial Institution.&lt;br /&gt;&lt;br /&gt;  The effort of bringing an umbrella law, in this regard, is really     praiseworthy. But certain provisions of the law have been seen as     controversial. Inclusion of the article regarding minimum qualification for     the appointment of the 2/3 of the board of directors in ordinance 2060 and     for the appointment of all the directors from among the promoters of A, B     and C class licensed institution in ordinance 2061 as graduation with rigid     specific qualification has created lots of controversy and dissatisfaction     among the investors.&lt;br /&gt;&lt;br /&gt;  Likewise the specific qualification and the experience for the Chief     Executive in the Ordinance, 2061 has also been seen as an intervention in     the independency of bank and financial institution. To be a CEO of a bank     or financial institution, according to the present law, a person should     have at least a Bachelor’s degree and a minimum working experience in     executive level for five years in HMG or banking institution or financial     institution or international financial institution, except the board of     directors from among the public shareholders. Lawmakers must think that     imposition of such specific experience may restrict well-experienced and     deserving persons with the experience in the level other than that mentioned     in the law. Such a provision also may put restriction on people having good     managerial skill, experience, interest and accountability, from entering     into banking or financial business.&lt;br /&gt;&lt;br /&gt;  Furthermore, the provision regarding the appointment of professionals from     among the list of the experts published by Nepal Rastra Bank has no meaning     now because the recent conditions (qualification and experience) put in the     law for the appointment of the board of directors from among promoter     shareholders are very rigid.&lt;br /&gt;&lt;br /&gt;  &lt;b&gt;Need&lt;/b&gt;&lt;br /&gt;&lt;br /&gt;  It has been proved from the various instances that to run a bank or     financial institution effectively and efficiently good governance is the     foremost condition. It has also been proved that good governance is not     merely the result of legal provisioning but the result of the feeling of     accountability and responsibility by Board of Directors, CEO and other     officials from the core of their heart. So the need of the hour for the     bank or financial institution is to work towards ensuring good governance,     which is the only way to success. &lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;     &lt;/td&gt; Development Banks are even directed to reimburse their loan that has been disbursed against the collateral of outside the given area before the end of Paush 2066. It has created a lot of problems to the regional level development Banks.&lt;br /&gt;I think it is the right of the citizens to choose the bank they want to work with. Working with a bank depends on so many things like the facility, interest rate, other charges, personal relation, behavior and the quality of service. If bank cannot provide the banking facility to the people what is the meaning of working as a bank. Is it possible and the ethics of the bank to tell the borrowers to pay back all the credit they have been provided for certain period of time in 1 yr? Yes i do agree that a regional bank should not go beyond its permitted area but at the same time it should have the right to work and exercise all the functions according to the law of the land from its office established in permitted area. Denial of service to the client is not the motto of a bank irrespective of  collateral,race, clan, cast, religion, geographic area etc of the client.   We opined that as per the law of nature A bank must provide service to those who are eligible to receive it from its offices .&lt;br /&gt;Limitation of business area may lead a regional bank to failure . Last year we did not celebrate it . My respected mother &lt;strong&gt;&lt;em&gt;Bafata Devi&lt;/em&gt;&lt;/strong&gt; departed to her heavenly abode and we were mourning the sudden and sad demise of our beloved.&lt;br /&gt;She was the one who had shown us the right path and direction and was the source of inspiration because of whom we have been able to stand on our own feet to serve the nation.&lt;br /&gt;but this year we celebrated the  festival worshiping goddess Bhagawati and on Dashami by accepting tika from elders and offering tika to youngsters.Likewise we  celebrated the  festival  &lt;strong&gt;Tihar &lt;/strong&gt;worshiping goddess Laxmi and eating sel, anarsa, fini etc. similarly accepting tika from DIDI and playing Bhailo and Dyausi. It helps to bring the commercial banks  and financial institutions back into the track in case they deviate from their  do's. For supervision of the Banks and financial institutions very competent staffs are needed. In the lack of experienced, trained, dedicated, professional and  above all  positive thinkers and  having knowledge of related acts, rules and regulations supervisory work carried out, I think,would be  less effective as well as may damage the image of central bank. Before recruiting the staffs for supervisory purpose it is very important to analyze and scrutinize the past behavior and their competency.&lt;br /&gt;Supervision must not be done for the shake of supervision and to show the supremacy of the supervising agency whether it is a board or the central bank. Provision made in  acts, rules and regulations must be taken care into consideration. Monopolistic approach, beyond   acts, rules and regulations, should not be given place during supervision. The shadow of Personal relation and feeling of supremacy also should never come during the same. It is the team leader and the chief of department  to look whether the report of the juniors are  based on present acts, rules and regulations. This helps to convince the bank and financial institution that supervisory body is the true friend not just a supervisory body. Sometimes it is seen that the juniors with no reason raise the issue which the bank and financial institutions carry as per the prevailing law. They don't go as per the prevailing law but try to explain the very clear provision made in the respective law as if they are the full authority to carry out the same. Such behavior has very negative impact on the  banks and financial institutions. Such issue which is not a issue  is the waste of time.&lt;br /&gt;So what I suggest that let supervisory body, in case of Nepal Nepal Rastra Bank (must think that com.banks and financial institutions are the integral part of the economy) and the banks and financial institutions must go together hand in hand to build the new democratic republic nation a very developed one. It may vary person to person. But in my opinion Rule of Law, Fairness and Accountability are the main components of good governance. &lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoBodyTextIndent" style="MARGIN: 0in -9pt 0pt 0.25in; TEXT-INDENT: 0in; TEXT-ALIGN: justify"&gt;&lt;!--[if !supportLists]--&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt;3.&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;!--[endif]--&gt;&lt;span style="font-size:14;"&gt;Good corporate governance is a key to the success of a bank and financial institution. Banks and financial institutions are a critical component of any economy. They provide financing for commercial enterprises, basic financial services to a broad segment of the population and access to payment system. In addition, some banks and financial institutions are expected to make credit and liquidity available in difficult market conditions. The importance of banks to national economies is underscored by the fact that banking is virtually a regulated industry and that banks have access to government safety nets. It is of crucial importance therefore that banks have strong corporate governance otherwise failure of Banks and financial institutions is inevitable. &lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoBodyTextIndent" style="MARGIN: 0in -9pt 0pt 0.25in; TEXT-INDENT: 0in; TEXT-ALIGN: justify"&gt;&lt;!--[if !supportLists]--&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt;4.&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;!--[endif]--&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt; &lt;/span&gt;It has been proved from various studies that Asian financial crisis was the result of the failure of many banks due to lack of sound risk control and clear strategy, that means there was a serious lack of good corporate governance. Although there was no such instance of crisis in Nepal, taking the cause of crisis into account measures have had been gradually taken to enhance level of good governance in bank and financial institution. The necessity of good governance might not have been felt earlier by the central bank because of the fewer number of banks and financial institutions among which most of them were very new. &lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoBodyTextIndent" style="MARGIN-LEFT: 0.25in; TEXT-INDENT: 0in; TEXT-ALIGN: justify"&gt;&lt;!--[if !supportLists]--&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt;5.&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;!--[endif]--&gt;&lt;span style="font-size:14;"&gt;Issuance of prudential regulation to bank and financial institution by Nepal Rastra Bank, enactment of new Nepal Rastra Bank act, 2058 and issuance of Bank and Financial Institution Related Act, 2063, are the measure steps, which have been taken so far to ensure good corporate governance in bank and financial institution.&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoBodyTextIndent" style="MARGIN-LEFT: 0.25in; TEXT-INDENT: 0in; TEXT-ALIGN: justify"&gt;&lt;!--[if !supportLists]--&gt;&lt;b&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt;6.&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/b&gt;&lt;!--[endif]--&gt;&lt;span style="font-size:14;"&gt;Nepal Rastra Bank have been playing vital role in ensuring good governance in bank and financial institution. One of the main objectives of&lt;b&gt; &lt;/b&gt;Nepal Rastra Bank as mentioned in Nepal Rastra Bank act is to appropriately regulate; inspect and supervise in order to maintain stability and healthy development of banking and financial system. This objective aims at ensuring good corporate governance. To meet above objective several provisions have been incorporated in both Nepal Rastra Bank act, 2058 and Bank and Financial Institution Related Act, 2063. Those provisions have not only empowered Nepal Rastra Bank to regulate; inspect and supervise bank and financial institution but have also endowed it with power even to impose one or more than one punishments on those bank and financial institution that violates an order or directives issued by it. Punishments incorporated in law are as follows:&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;b&gt;&lt;span style="font-size:0;"&gt;&lt;/span&gt;&lt;o:p&gt;&lt;/o:p&gt;&lt;/b&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.25in; TEXT-ALIGN: justify"&gt;&lt;span style="font-size:0;"&gt;&lt;/span&gt;&lt;span style="font-size:0;"&gt;&lt;/span&gt;(a) Could issue reprimand or written warning,&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/p&gt;&lt;p class="MsoBodyTextIndent2" style="TEXT-ALIGN: justify"&gt;(b) Could obtain an undertaking from board of directors for adopting&lt;span style="font-size:0;"&gt; &lt;/span&gt;reformative measures,&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-ALIGN: justify"&gt;&lt;span style="font-size:14;"&gt;(c) Could issue written order to end up frequent violation, abstain from such violation and adopt reformative measures,&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-ALIGN: justify"&gt;&lt;span style="font-size:14;"&gt;(d) Could suspend or terminate the services of the bank and financial institution,&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-ALIGN: justify"&gt;&lt;span style="font-size:14;"&gt;(e) Could prohibit commercial bank or financial institution to distribute dividend to its shareholders,&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-ALIGN: justify"&gt;&lt;span style="font-size:14;"&gt;(f) Could prohibit commercial bank or financial institution from accepting deposits or granting loans and advances,&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-ALIGN: justify"&gt;&lt;span style="font-size:14;"&gt;(g) Could impose full or partial restriction on the business transaction of the commercial bank or financial institution,&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-ALIGN: justify"&gt;&lt;span style="font-size:14;"&gt;(h) Could suspend or revoke license of the commercial bank or financial institution.&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-INDENT: -0.25in; TEXT-ALIGN: justify"&gt;&lt;!--[if !supportLists]--&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt;7.&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;!--[endif]--&gt;&lt;span style="font-size:14;"&gt;To enhance good governance condition of bank and financial institution apart from the traditional power of licensing, regulation and supervision, Bank and Financial Institution Related Ordinance, 2061 has empowered Nepal Rastra Bank with lots of powers. Appointment of one of the Board of Directors from among qualified and well experienced business experts, promotion i.e. from ‘Ga to Kha’ or ‘Kha to Ka’ and demotion i.e. from ‘Ka to Kha’or ‘Kha to Ga’ of Bank and Financial Institution from one category to another, suspension and revoking of license, enlisting of auditors, suspension and taking over of the management, imposition of penalty fromRs.10 thousands to Rs.50 thousands according to the classification (for failing to furnish the specified information in time) and punishment to concerned authority( who does not comply with the orders and directives of Nepal Rastra Bank and acts against the interest of depositors and shareholders ) by Nepal Rastra Bank could be seen in this regard.&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-INDENT: -0.25in; TEXT-ALIGN: justify"&gt;&lt;!--[if !supportLists]--&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt;8.&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;!--[endif]--&gt;&lt;span style="font-size:14;"&gt;Nepal Rastra Bank has been carrying its responsibility to establish good governance through the issuance of necessary regulations since long time back. Regulations have been changed time and again. Separate regulations have been issued for different bank and financial institutions. Regulation covers almost all areas of activities of banks and financial institutions. It has been helping to bring their activities into right track.&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-INDENT: -0.25in; TEXT-ALIGN: justify"&gt;&lt;!--[if !supportLists]--&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt;9.&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;!--[endif]--&gt;&lt;span style="font-size:14;"&gt;In my opinion only enactment of any act or regulation is not sufficient enough. Compliance to the law is very essential. It would be of no use unless the concerned authority would go by it. To ensure whether banks or financial institutions are performing their business as per the law, timely supervision is the only option. Nepal Rastra Bank as per the law of the land is the supervisory body. It is the duty and responsibility of Nepal Rastra Bank by law to ensure whether banks and financial institutions are carrying their business as per the law.&lt;span style="font-size:0;"&gt; &lt;/span&gt;There is no doubt that Nepal Rastra Bank never lags behind in carrying its responsibility with full accountability, which has been proved time and again. But in spite of its regular inspection and supervision most of the banks and financial institutions have not been seen being able to ensure good corporate governance. Board of Directors of banks and financial institutions must be aware of the facts that their actions may have adverse effect on the profitability and ultimately take the institution towards non-performation or liquidation.&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-INDENT: -0.25in; TEXT-ALIGN: justify"&gt;&lt;!--[if !supportLists]--&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt;10.&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;!--[endif]--&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt; &lt;/span&gt;Despite full authority of taking necessary actions against those banks or financial institutions that do not comply with the provisions made in the law, amount of non- performing loans and non-banking assets have been increasing tremendously. Such increments have also been adversely affecting the overall business of the bank and financial institution. Such situation not only could be the result of, as it is blamed, ineffective and inefficient supervision by Nepal Rastra Bank but also could be the result of several other factors. Let whatever be the actual reasons but the blames of their failure have been put on the shoulder of Nepal Rastra Bank. So the role of Nepal Rastra Bank have now been very responsible and important especially at this juncture of time when amount of non-performing loans and liquid fund of bank and financial institutions are increasing and bank and financial institutions are struggling for their survival due to keen competition in attracting very small and feeble business sector and limited financial market in one hand and the adverse political situation, which is affecting particularly their recovery and Nepalese economy at large in other hand. The keen competition among the same business sector may lead them towards financial crisis and it is a hilarious task that Nepal Rastra Bank has to take as a challenge to lead them towards their prosperity pursuing them to follow the path of good governance.&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-INDENT: -0.25in; TEXT-ALIGN: justify"&gt;&lt;!--[if !supportLists]--&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt;11.&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;!--[endif]--&gt;&lt;span style="font-size:14;"&gt;In carrying its responsibility in ensuring good corporate governance Nepal Rastra Bank has to be very bold and perfect. For this purpose strong will, relevant prudential norms, experienced, educated, well-trained and well- motivated supervisory staff and feeling of accountability in top-level management are primary requirements. But in contrary to the above facts when Nepal Rastra Bank, to ensure good governance, is in need of efficient, trained and senior level staff and also in the process of re-engineering ‘Voluntary Retirement Scheme (VRS)’has been introduced suddenly targeting towards them too. As a result of which and rumors spread most of the competent staffs have been retired unwillingly that has created a vacuum which may affect efficient and effective supervisory responsibility of central bank at a time when it is trying to ensure good governance in banks and financial institutions. Such decisions have put question mark on staff management planning of Nepal Rastra Bank and on the implementation of the recommendation of re-engineering group that has been given contract from the loan of World Bank and are&lt;/span&gt; &lt;span style="font-size:14;"&gt;paid in U.S.Dollars.&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;&lt;p class="MsoNormal" style="MARGIN-LEFT: 0.5in; TEXT-INDENT: -0.25in; TEXT-ALIGN: justify"&gt;&lt;!--[if !supportLists]--&gt;&lt;span style="font-size:14;"&gt;&lt;span style="font-size:0;"&gt;12.&lt;span style="font-size:0;"&gt; &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;!--[endif]--&gt;&lt;span style="font-size:0;"&gt; &lt;/span&gt;It has been proved that &lt;span style="font-size:14;"&gt;good governance is the only one option to run an institution fairly and smoothly. Central bank has an important responsibility for shaping an effective regulatory framework that provides for sufficient flexibility to allow market to function effectively and to respond to expectations of shareholders and other stakeholders. So, unless and until there would not be timely, efficient and effective supervision followed by timely action against those who violates law, ensuring good governance in banks and financial institutions by just issuing order and directives would not be sufficient enough.
